Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Iliev Solutions S.R.L. ("Company," "we," "us," or "our") regarding your use of the website iliev.solutions ("Site") and our services for the supply of spare parts for industrial machinery ("Services"). By accessing our Site or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Site or Services.

Description of Services

Iliev Solutions provides services for the global supply of spare parts for industrial machinery and delivery, including:

Process of Obtaining a Quote When you submit a request for a quote through our Site:

• You provide specifications for the required spare parts.
• We evaluate availability and supply options.
• We provide a commercial quote, including prices, availability, and delivery terms.
• Quotes are valid for 30 days unless otherwise stated.

Order Acceptance A commercial quote is not an offer of sale. We reserve the right to:

• Accept or reject any request for a quote
• Verify information before processing
• Request additional documentation or specifications
• Cancel or modify quotes due to pricing errors, changes in availability, or other circumstances
• An order is confirmed only when we send a written confirmation of acceptance.

Pricing and Payment

• All prices are indicated in the specified currency and are subject to change.
• Prices do not include taxes, duties, or customs fees unless otherwise stated.
• Payment terms will be specified in your quote or invoice.
• We accept payment methods indicated in our communications.
• Overdue payments may incur additional fees or suspension of services.

• We make reasonable efforts to ensure accurate product descriptions.
• Specifications are based on manufacturer information.
• You are responsible for verifying compatibility with your equipment.
• Technical specifications may vary; confirm critical details before ordering.

Shipping and Delivery

Delivery Terms

• Delivery times are estimated and not guaranteed.
• We coordinate with global logistics partners for shipment.
• The risk of loss passes according to the agreed Incoterms.
• Delivery delays due to customs, force majeure, or carrier issues are not our responsibility.

Shipping Costs

• Shipping costs are indicated separately or included in the price as stated.
• You are responsible for import duties, taxes, and customs clearance.
• Additional fees may apply for urgent delivery or special handling.

Inspection and Acceptance

Upon receipt of spare parts:

• Immediately inspect for damage or discrepancies.
• Report any issues within 48 hours of delivery.
• Failure to report issues on time may limit your remedies.
• Sign delivery documents only after inspection.

Returns and Warranties

Return Policy Returns are accepted under the following conditions:

• Spare parts were not used, are in original packaging, and in resalable condition.
• The return request is submitted within 14 days after delivery.
• Return shipping costs are borne by the customer, unless the error was ours.
• A 15% restocking fee may apply.
• Specially ordered spare parts may not be eligible for return.

Warranty

• Spare parts are supplied with manufacturer warranties where applicable.
• We do not provide additional warranties beyond the manufacturer's coverage.
• Warranty claims should be directed according to the manufacturer's procedures.
• We help coordinate warranty claims whenever possible.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE PROVIDE SERVICES "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not guarantee that:

• Services will be uninterrupted or error-free.
• Spare parts will meet your specific requirements (verify compatibility).
• All information on the Site is accurate or current.

Liability and Compensation

Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW , we are not liable for:

• Indirect, incidental, special, consequential, or punitive damages.
• Lost profit, revenue, data, or business opportunities.
• Equipment downtime or operational losses.
• Damages exceeding the amount paid for the specific spare parts in question.
• This applies even if we were advised of the possibility of such damages.

Maximum Liability Our total liability for any claims arising out of these Terms or related to our Services shall not exceed the total amount you paid us during the 12 months preceding the claim.

Indemnification You agree to indemnify and defend Iliev Solutions, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of our Services
• Violation of these Terms
• Violation of third-party rights
• Improper use of purchased spare parts

Intellectual Property

• Ownership: All content on our Site, including text, graphics, logos, images, and software, is the property of Iliev Solutions or its licensors and is protected by intellectual property laws.
• Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use our Site for its intended purpose. You may not:

  • Reverse engineer or decompile any technology
  • Remove copyrights or proprietary marks
  • Use our content for commercial purposes without permission

• Upon termination, your right to use the Services immediately ceases , outstanding payment obligations remain , and provisions regarding liability, compensation, and intellectual property remain in effect.

• Governing Law: These Terms are governed by the laws of Romania without regard to conflict of law rules.
• Jurisdiction: Any disputes arising from these Terms are subject to the exclusive jurisdiction of the courts located in Cluj-Napoca, Romania (Tribunalul Cluj).
• Alternative Dispute Resolution: Before approaching judicial authorities, the parties agree to attempt to negotiate in good faith for 30 days. If the problem is not resolved, mediation may be conducted before legal action.

Changes to Terms

• We reserve the right to modify these Terms at any time.
• Changes take effect upon their posting on the Site with an updated "Last Updated" date.
• Significant changes will be notified via a prominent notice on our Site or email notification.
• Continued use of the Services after changes signifies acceptance of the modified Terms.

• Severability: If any provision is found invalid, the remaining provisions remain in full force. Invalid provisions will be modified to the minimum extent necessary to make them valid.
• Entire Agreement: These Terms, together with our Privacy Policy and any written agreements, constitute the entire agreement between you and Iliev Solutions.
• Waiver: Our failure to enforce any right is not a waiver of that right. A waiver must be in writing to be valid.
• Assignment: You may not transfer your rights or obligations without our written consent. We may transfer these Terms without restrictions.
• Language: These Terms may be translated into other languages. In case of conflict, the English version prevails.
